The Company and the Panelist may each be referred to individually as a "Party" and collectively as the "Parties."
1PURPOSE
The Company produces professionally hosted virtual expert panel events designed to educate audiences, elevate the visibility and authority of respected professionals, and create meaningful connections between attendees and featured experts.
This Agreement establishes the terms governing the Panelist's participation in the Event and is intended to ensure a professional, educational, and valuable experience for all participants.
2NATURE OF THE EVENT
The Event is a professionally produced educational program featuring multiple experts who present practical knowledge, real-world experience, and actionable insights.
The Event is designed to educate, inspire, and connect attendees with qualified professionals.
The Event is not intended to serve as:
- A sales seminar;
- An individual coaching session;
- A networking event;
- A roundtable discussion;
- An open forum;
- An extended question-and-answer session; or
- Any other format inconsistent with the Company's educational programming.
The Company retains sole discretion regarding:
- The Event format;
- The agenda;
- The presentation order;
- Speaking times;
- Moderation;
- Production decisions;
- Audience interaction;
- The technical platform;
- Promotional materials; and
- The overall attendee experience.
The Panelist acknowledges that the Company's decisions regarding the production and administration of the Event shall be final.
3EVENT DETAILS
The specific Event covered by this Agreement is as follows:

Virtual Platform:Zoom or another virtual platform designated by the Company.
Expected Event Duration:Approximately ninety (90) minutes.
Required Panelist Check-In:Twenty (20) minutes prior to the published Event start time.
Panelist Presentation:Approximately ten (10) minutes.
The Company reserves the right to make reasonable adjustments to the presentation order, speaking times, Event schedule, or production format when necessary to ensure the successful delivery of the Event.
4ELIGIBILITY
The Panelist represents and warrants that:
- All information submitted during the application process is true, accurate, and complete.
- The Panelist possesses the professional qualifications, experience, and expertise represented to the Company.
- The Panelist has sufficient knowledge and experience to present competently on the approved topic.
- Participation in the Event does not violate any contractual, legal, or professional obligation owed to another individual or organization.
- Any presentation materials, slides, graphics, videos, trademarks, copyrighted works, or other content provided by the Panelist are original or are used with all necessary rights, permissions, and licenses.
- The Panelist will promptly notify the Company of any material change that could affect the Panelist's ability to participate in the Event.
5INDEPENDENT EXPERT STATUS
The Panelist participates in the Event as an independent professional.
Nothing contained in this Agreement shall be construed to create an employment relationship, partnership, joint venture, agency relationship, franchise, fiduciary relationship, or any other legal association between the Company and the Panelist.
The Company does not endorse, guarantee, or assume responsibility for the Panelist's products, services, advice, opinions, claims, business practices, or professional recommendations.
Likewise, the Panelist shall not state or imply that the Company endorses the Panelist's business, products, services, opinions, or recommendations except where the Company has provided its prior written authorization.
6PANELIST RESPONSIBILITIES
The Panelist agrees to actively participate in the Event in a professional manner and to comply with all reasonable instructions provided by the Company before, during, and after the Event.
The Panelist shall:
- Participate in any required onboarding meeting, technical rehearsal, sound check, or preparation session scheduled by the Company.
- Join the virtual Event platform at least twenty (20) minutes before the published Event start time.
- Remain available for the duration of the Event unless excused by the Company.
- Participate using a stable internet connection, functioning camera, functioning microphone, and appropriate lighting.
- Participate from a quiet, professional, distraction-free environment.
- Promptly notify the Company of any circumstance that could affect participation in the Event.
- Follow all reasonable instructions provided by the Company's host, emcee, moderator, or production team.
7PRESENTATION STANDARDS
The Panelist shall present educational, practical, and valuable information that contributes positively to the overall attendee experience.
The Panelist agrees to:
- Present only the topic approved by the Company.
- Deliver a presentation of approximately ten (10) minutes unless otherwise directed by the Company.
- Respect the allotted presentation time.
- Focus primarily on education rather than promotion.
- Provide practical strategies, insights, examples, and actionable takeaways whenever reasonably possible.
- Conduct themselves professionally throughout the presentation.
The Panelist shall not:
- make false, misleading, deceptive, or defamatory statements;
- make guarantees regarding financial, legal, medical, business, or personal outcomes;
- engage in discriminatory, offensive, abusive, or unlawful conduct;
- criticize or disparage other panelists, attendees, sponsors, or the Company;
- use profanity or inappropriate language; or
- intentionally interfere with the presentation of another participant.
The Company may conclude the Panelist's presentation early if necessary to maintain the Event schedule, preserve the attendee experience, or address a material violation of this Agreement.
8COMPLIMENTARY RESOURCE
Each Panelist may introduce one (1) complimentary resource during their presentation.
The complimentary resource should provide genuine educational value to attendees and may include, by way of example:
- a guide;
- an assessment;
- a checklist;
- a workbook;
- a template;
- a report;
- a downloadable resource; or
- another educational item approved by the Company.
The complimentary resource may require attendees to provide their contact information in order to receive it.
The Panelist remains solely responsible for all content, claims, delivery, and ongoing communications relating to the complimentary resource.
The Company does not endorse or guarantee the Panelist's complimentary resource.
The Company reserves the right to require reasonable modifications to any complimentary resource or decline to distribute a resource that, in the Company's reasonable judgment, is inconsistent with the educational objectives, professional standards, or reputation of the Event.
9SALES AND PROMOTIONAL ACTIVITIES
The primary purpose of the Event is education.
Accordingly, the Panelist agrees that the presentation shall not be used as a sales presentation.
The Panelist may:
- briefly introduce their business;
- reference their professional services as part of the educational presentation; and
- invite attendees to access the approved complimentary resource.
The Panelist shall not:
- conduct a high-pressure sales presentation;
- solicit immediate purchases during the presentation;
- request payment from attendees during the Event;
- repeatedly promote paid products or services; or
- otherwise shift the primary focus of the presentation from education to selling.
The Company's host or moderator may redirect the presentation or conclude it early if these guidelines are materially violated.
10PROMOTIONAL COMMITMENT
The success of each Event depends upon the collective promotional efforts of all participating experts.
Accordingly, the Panelist agrees to promote the Event a minimum of three (3) times before the Event using reasonable efforts.
Promotion may include email communications, social media posts, newsletters, professional communities, podcasts, blogs, websites, or other communication channels appropriate to the Panelist's audience.
The Company will provide the official registration link and, when available, branded promotional materials for use by the Panelist.
The Panelist agrees not to alter the official Event date, time, registration link, branding, or promotional messaging in a manner that could reasonably confuse prospective attendees.
The Company makes no representation or guarantee regarding attendee registration numbers, attendance, lead generation, revenue, business opportunities, or other results arising from the Event.
11LIVE APPEARANCE REQUIREMENT
The Event is intended to provide attendees with an authentic live experience.
Unless the Company provides prior written approval, the Panelist shall personally appear live during the Event and may not substitute:
- prerecorded presentations;
- AI-generated presenters;
- AI-generated avatars;
- voice-cloned presentations; or
- another individual to present on the Panelist's behalf.
The Company may approve reasonable accommodations in exceptional circumstances at its sole discretion.
12PANELIST COMMITMENT & ADMINISTRATIVE FEE
As a condition of participation in the Event, the Panelist shall electronically execute this Agreement and simultaneously pay a non-refundable Panelist Commitment & Administrative Fee of Forty-Seven Dollars ($47.00).
This fee reserves the Panelist's speaking position and helps offset a portion of the Company's costs associated with producing the Event, including, but not limited to:
- Panelist onboarding and coordination;
- Event administration and scheduling;
- Speaker communications;
- Graphic and promotional material preparation;
- Technical setup and event management;
- Speaker support before and during the Event; and
- Other administrative expenses associated with producing the Event.
The Panelist acknowledges that this fee is not a speaking fee and does not constitute payment for services rendered by the Panelist.
A speaking position is reserved only after:
- This Agreement has been electronically executed by the Panelist; and
- The Panelist Commitment & Administrative Fee has been successfully paid.
Upon completion of both requirements, the Panelist's participation is deemed confirmed, and the Company will begin onboarding, scheduling, promotional, and production activities.
Because these activities begin immediately upon confirmation, the Panelist Commitment & Administrative Fee is non-refundable, regardless of whether the Panelist later withdraws, cancels, or is unable to participate, except where cancellation results solely from the Company's decision to cancel the Event without offering a comparable rescheduled date that the Panelist accepts.
13WITHDRAWAL, CANCELLATION, AND EVENT CHANGES
13.1 Withdrawal by the Panelist
The Panelist may withdraw from the Event by providing written notice to the Company.
The Panelist understands that the Panelist Commitment & Administrative Fee remains non-refundable because the Company begins production and onboarding immediately following confirmation.
13.2 Cancellation by the Company
The Company reserves the right to cancel, postpone, reschedule, modify, or discontinue the Event when reasonably necessary due to operational requirements, insufficient registrations, technical issues, illness, force majeure, safety concerns, or other circumstances beyond the Company's reasonable control.
If the Company cancels the Event and does not offer a comparable rescheduled date that the Panelist accepts, the Company will refund the Panelist Commitment & Administrative Fee in full.
13.3 No Guarantee of Future Participation
Participation in one Event does not create any expectation or entitlement to participate in future Events produced by the Company.
The Company reserves the right to determine speaker selection for each Event in its sole discretion.
14COMPANY RESPONSIBILITIES
The Company agrees to use commercially reasonable efforts to:
- Produce and host the Event in a professional manner.
- Provide the Panelist with reasonable onboarding instructions and Event information.
- Coordinate the Event schedule and presentation order.
- Introduce the Panelist during the Event.
- Display or distribute the approved complimentary resource at the appropriate time during the Event.
- Provide reasonable technical support before and during the Event.
Nothing in this Agreement shall require the Company to conduct the Event in any particular format or prevent the Company from making reasonable operational decisions before or during the Event.
15RECORDING, MEDIA RELEASE, AND INTELLECTUAL PROPERTY
The Panelist understands and agrees that the Company may photograph, audio record, video record, livestream, edit, reproduce, archive, distribute, and otherwise use the Event for legitimate business, educational, promotional, and marketing purposes.
The Panelist grants the Company a perpetual, worldwide, non-exclusive, royalty-free license to use the Panelist's:
- Name;
- Professional biography;
- Likeness;
- Image;
- Voice;
- Presentation;
- Submitted materials;
- Approved headshot; and
- Participation in the Event
solely in connection with the production, promotion, marketing, distribution, and archival of the Event and future Company marketing materials.
The Company may edit recordings for length, clarity, production quality, formatting, captions, branding, and promotional purposes, provided the edits do not materially misrepresent the Panelist's presentation.
The Panelist retains ownership of all pre-existing intellectual property, including proprietary frameworks, trademarks, copyrighted materials, and presentation content developed independently of the Event.
Except for the license granted in this Agreement, no ownership of the Panelist's intellectual property is transferred to the Company.
The Company retains exclusive ownership of:
- The Event concept and format;
- Event branding;
- Company trademarks;
- Company logos;
- Promotional materials created by the Company;
- Registration systems;
- Attendee information;
- Event recordings;
- Edited productions; and
- All other Company intellectual property.
The Panelist shall not reproduce, distribute, sell, license, publish, or commercially exploit the complete Event recording without the Company's prior written consent.
16EVENT RECORDING AND PARTICIPANT RESTRICTIONS
To protect the privacy of all participants and preserve the integrity of the Event, only the Company is authorized to record, photograph, capture screenshots, livestream, or otherwise reproduce any portion of the Event.
Except with the Company's prior written consent, the Panelist shall not:
- Record any portion of the Event;
- Permit another individual or organization to record the Event on the Panelist's behalf;
- Take or distribute screenshots of the Event or its participants;
- Livestream or rebroadcast any portion of the Event;
- Use third-party software, hardware, or artificial intelligence tools to capture audio, video, images, transcripts, or other content from the Event; or
- Distribute recordings or captured content to any third party.
The Company may prohibit attendees from creating or distributing transcripts, AI-generated summaries, organized note compilations, commercial note-taking services, or any other reproduction of the Event intended for publication, redistribution, resale, training, or use by individuals who did not attend the Event.
Nothing in this Agreement is intended to prohibit attendees from making brief personal notes solely for their own private, non-commercial use during the Event.
The Company reserves the right to remove any participant or attendee who violates these restrictions and to pursue any rights or remedies available under this Agreement or applicable law.
17PROFESSIONAL CONDUCT
The Panelist agrees to conduct themselves professionally before, during, and after the Event.
The Panelist shall:
- Dress in professional business attire appropriate for the Event.
- Participate from a quiet, distraction-free environment.
- Treat the Company's representatives, host, emcee, fellow panelists, sponsors, attendees, and vendors with professionalism, courtesy, and respect.
- Follow all reasonable instructions provided by the Company's host, emcee, moderator, or production team.
- Respect the confidentiality of any non-public communications relating to the Event.
The Panelist shall not:
- engage in harassing, discriminatory, abusive, threatening, or defamatory conduct;
- use profanity or offensive language;
- intentionally disrupt the Event or another participant's presentation;
- appear while impaired by alcohol or illegal drugs;
- intentionally damage the reputation of the Company, the Event, the host, the emcee, fellow panelists, sponsors, or attendees through conduct occurring during the Event; or
- otherwise engage in conduct that materially interferes with the successful presentation of the Event.
The Company may immediately remove the Panelist from the Event if the Panelist materially violates this Section.
18REPRESENTATIONS AND WARRANTIES
The Panelist represents and warrants that:
- The Panelist has the full legal authority to enter into this Agreement.
- The Panelist's participation in the Event does not violate any agreement, court order, employer policy, or legal obligation.
- The Panelist's presentation, complimentary resource, and all submitted materials do not knowingly infringe upon any copyright, trademark, privacy right, publicity right, or other legal right of any third party.
- The Panelist possesses all rights, licenses, permissions, and authorizations necessary to present and distribute the materials supplied by the Panelist.
- The Panelist will comply with all applicable federal, state, and local laws, regulations, and applicable professional standards.
19CONFIDENTIALITY
The Panelist agrees to maintain the confidentiality of all non-public information received from the Company, including, without limitation:
- attendee information;
- internal production materials;
- private speaker communications;
- operational procedures;
- unreleased promotional materials;
- business strategies; and
- other confidential business information disclosed by the Company.
This obligation does not apply to information that:
- becomes publicly available through no fault of the Panelist;
- is lawfully obtained from an independent source without a duty of confidentiality; or
- must be disclosed pursuant to applicable law or a valid court order.
20INDEMNIFICATION
The Panelist shall defend, indemnify, and hold harmless the Company, its owners, officers, managers, employees, contractors, agents, successors, and assigns from and against any third-party claims, liabilities, damages, judgments, settlements, costs, and reasonable attorneys' fees arising out of or relating to:
- the Panelist's presentation;
- the Panelist's complimentary resource;
- the Panelist's products or services;
- any breach of this Agreement by the Panelist;
- infringement of intellectual property rights;
- violations of applicable law; or
- negligent or wrongful acts or omissions of the Panelist.
The Company shall promptly notify the Panelist of any claim subject to this Section and shall reasonably cooperate in the defense of such claim.
21LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the Event or this Agreement.
The Company makes no guarantee regarding:
- attendance;
- audience size;
- lead generation;
- revenue;
- sales;
- media exposure;
- business opportunities;
- professional relationships; or
- any other business outcome resulting from participation in the Event.
Except for obligations that cannot legally be limited, the Company's total liability arising out of this Agreement shall not exceed the amount of the Panelist Commitment & Administrative Fee actually paid by the Panelist.
22FORCE MAJEURE
The Company shall not be liable for any delay, interruption, rescheduling, modification, or cancellation of the Event caused by circumstances beyond its reasonable control, including:
- acts of God;
- natural disasters;
- severe weather;
- fire;
- flood;
- war;
- terrorism;
- civil unrest;
- government action;
- public health emergencies;
- labor disputes;
- widespread internet outages;
- power failures;
- failures of third-party technology providers; or
- any other event beyond the reasonable control of the Company.
The Company shall make commercially reasonable efforts to reschedule the Event whenever practical.
23GOVERNING LAW AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
Any legal action, proceeding, or dispute arising out of or relating to this Agreement shall be brought exclusively in the state courts of Martin County, Florida, or, where federal jurisdiction exists, in the appropriate federal court serving Martin County, Florida.
Each Party irrevocably submits to the exclusive jurisdiction and venue of such courts and waives any objection based on improper venue or inconvenient forum.
24PAYMENT AUTHORIZATION
By electronically signing this Agreement and submitting the Panelist Commitment & Administrative Fee, the Panelist authorizes the Company to process the one-time payment of Forty-Seven Dollars ($47.00) using the payment method provided through the Company's secure payment processor.
The Panelist acknowledges that:
- the payment is due at the time this Agreement is executed;
- the payment is a one-time, non-refundable Panelist Commitment & Administrative Fee, except as expressly provided in this Agreement;
- no recurring or subscription charges are authorized under this Agreement; and
- an electronic receipt will be provided following successful payment.
The Panelist's speaking position is not confirmed until both the electronic execution of this Agreement and successful payment of the Panelist Commitment & Administrative Fee have been completed.
25MISCELLANEOUS
Entire Agreement
This Agreement constitutes the complete understanding between the Parties regarding the Panelist's participation in the Event and supersedes all prior discussions, communications, proposals, negotiations, and agreements relating to its subject matter.
Amendments
No amendment or modification of this Agreement shall be effective unless made in writing and signed by both Parties.
Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
A failure or delay by either Party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
Assignment
The Panelist may not assign or transfer any rights or obligations under this Agreement without the Company's prior written consent.
The Company may assign this Agreement in connection with a merger, acquisition, sale of assets, or other business reorganization.
Electronic Signatures
The Parties agree that electronic signatures, electronic records, and electronic acceptance shall have the same legal force and effect as original handwritten signatures and satisfy any applicable legal requirement for a written signature.
Notices
Any notice required under this Agreement shall be delivered by email or another written method designated by the Company.
26ACKNOWLEDGMENT
By electronically signing this Agreement and submitting the required Panelist Commitment & Administrative Fee, the Panelist acknowledges and agrees that they:
- have carefully read this Agreement in its entirety;
- understand all of its terms and conditions;
- have had the opportunity to seek independent legal advice before signing;
- voluntarily agree to be legally bound by this Agreement; and
- represent that they possess the legal authority to enter into this Agreement.
